Managed Microsoft 365 Backup Service Terms & Conditions

1. Overview
These Terms & Conditions apply to the Managed Microsoft 365 Backup Service (“the Service”) provided by Jan-IT (“we”, “us”, “our”) to the Customer (“you”, “your”).
The Service provides backup and recovery of Microsoft 365 data including Exchange Online, OneDrive, SharePoint, and Teams.
2. Service Description
- Backups are performed automatically on a scheduled basis.
- Backup data is stored in ISO 27001 certified, secure UK-based data centres.
- Standard data retention is 12 months, unless otherwise agreed in writing.
- The Service is licensed per Microsoft 365 user account.
- This Service is designed for backup and recovery purposes only and is not intended to replace legal archiving, journaling, or eDiscovery solutions.
3. Customer Responsibilities
You agree to:
- Maintain valid Microsoft 365 licences for all users covered by the Service
- Ensure your use of the Service is reasonable and not excessive
- Notify us promptly of any issues or suspected data loss
- Verify the integrity of any restored data
You remain responsible for the accuracy, legality, and ownership of your data at all times.
4. Jan-IT Responsibilities
We will:
- Provide and manage the backup service
- Ensure data is encrypted in transit and at rest
- Monitor the Service and provide support during business hours
- Maintain reasonable service availability (target 99.9% uptime)
Access to your data will only occur:
- With your permission
- For support or troubleshooting purposes
- Only to the extent required
5. Support
Support is provided during standard business hours: Monday to Friday, 9:00am – 5:30pm (excluding UK Bank Holidays)
Support includes:
- Backup monitoring
- Restore assistance
- Issue investigation
We aim to respond to support requests within 4 working hours.
6. Service Levels
We aim to provide:
- 99.9% monthly service availability
- Restore initiation within:
- 3 hours (target)
- 6 hours (maximum delay before escalation)
- 9 hours (critical failure threshold)
Where service levels are not met, remedies will be considered in line with supplier terms, but service credits are not automatically applied to customer accounts.
7. Data Protection & Security
- You retain full ownership of your data
- Jan-IT acts as a data processor, and you act as the data controller
- The Service complies with UK GDPR principles
We implement appropriate technical and organisational measures to protect your data.
8. Billing & Payment
- Services are billed monthly in arrears based on active users
- Payment terms are 30 days from invoice date
- Late payments may incur interest in line with statutory guidance
We reserve the right to change pricing with at least 60 days’ notice.
9. Acceptable Use
You must not:
- Use the Service in a way that is unlawful or abusive
- Attempt to bypass security or access controls
- Use the Service to develop competing solutions
We reserve the right to suspend the Service in cases of misuse.

10. Term and Termination
- The Service operates on a rolling monthly basis
- Either party may terminate with 30 days’ written notice
Upon termination:
- Access to the Service will be removed
- Backup data will be deleted within 30 days
- Any outstanding fees become payable immediately
11. Confidentiality
Both parties agree to keep confidential any non-public information obtained during the provision of the Service.
12. Limitation of Liability
- The Service is provided on a reasonable endeavours basis
- We are not liable for indirect or consequential loss, including loss of business or revenue
- Our total liability is limited to the fees paid for the Service in the preceding 12 months
Nothing in this agreement limits liability where it cannot be excluded by law.
13. General
- These Terms are governed by the laws of England and Wales
- These Terms form the entire agreement for this Service
- We may update these Terms with reasonable notice
